Gentex Closes Acquisition of VOXX International Corporation

As announced on December 18, 2024, Gentex Corporation entered into a definitive agreement and plan of merger for Gentex to acquire VOXX International Corporation in an all-cash transaction at a purchase price of $7.50 per share. Now, Gentex announced the successful closing of the deal, with the two NASDAQ-listed companies now trading as one (GNTX). Consumer audio brands Klipsch, Onkyo and Pioneer/Integra are now part of the Gentex portfolio.

Gentex Signs Definitive Agreement to Acquire VOXX International

Gentex Corporation, a supplier of digital vision, connected car, dimmable glass and fire protection technologies, announced that it entered into a definitive agreement and plan of merger for Gentex to acquire VOXX International Corporation in an all-cash transaction. In the announcement, Gentex says that its expertise in high volume manufacturing will benefit the Premium Audio Company business and its Klipsch, Onkyo and Integra audio brands, and will increase its business in OEM automotive audio systems.

VOXX International Confirms Joint Venture Agreement With Sharp To Acquire Onkyo Home Entertainment Business

VOXX International announced that its wholly-owned subsidiary, Premium Audio Company, and Sharp have successfully entered into a joint venture to acquire certain assets of the audio/video business of Onkyo Home Entertainment Corporation. This follows the Asset Purchase Agreement signed by the parties as announced on May 3, 2021. Premium Audio will own Onkyo and Integra products, IP and brands, and will market and sell the Pioneer and Pioneer Elite brands worldwide, except in China.

VOXX International Corporation announced that it has signed a Letter of Intent to acquire the Home Audio/Video business of Onkyo Home Entertainment Corporation, along with Sharp Corporation as its partner. VOXX and Sharp have been granted exclusivity while discussions remain underway. VOXX had recently been confirmed as the exclusive distributor in the Americas of the Onkyo brand.
