WiSA Technologies Acquires Select Technologies from Data Vault Holdings and Transforms Into Datavault Inc.

WiSA Technologies announced that it has executed a definitive asset purchase agreement of select intellectual property and information technology assets from Data Vault Holdings, a privately held company, for $210 million in shares of common stock of WiSA Technologies. WiSA Technologies acquires the High-Performance Computing (HPC) Software and Acoustic Technologies IP from Data Vault Holdings and intends to change its name to Datavault Inc.
Data Vault Holdings Inc. is a technology holding company that provides a proprietary, cloud-based blockchain platform. Datavault, the company's patented platform, offers the tools to monetize data assets securely over its Information Data Exchange (IDE) service. Data Vault Holdings, owns Data Donate Technologies Inc., ADIO LLC, Datavault Inc., and True Luck Inc., as wholly owned subsidiaries under one corporate structure. 

The combined business (Datavault Inc.) resulting from the acquisition of Data Vault Holdings' High-Performance Computing (HPC) Software and Acoustic Technologies IP, combined with WiSA Technologies, creates a licensing and technology company with an extensive patent portfolio serving multiple industries. Nathaniel (Nate) T. Bradley, the CEO and co-founder of Data Vault Holdings, and a prolific inventor with over 70 international and US patents across the most diverse fields is to become the new CEO of the combined entity.

According to the WiSA Technologies announcement, "The resulting publicly traded data technology and licensing company will enable clients and strategic partners to monetize their Blockchain Data and AI Web 3.0 assets via tokenization, data ownership and digital twins. Following the asset acquisition, the company will include the Datavault and ADIO assets, talent and experience with WiSA Technologies to offer two solutions."

The Datavault Acoustic Sciences Division offers licensing of WiSA, ADIO and Sumerian patented technologies for multichannel wireless sound transmission technologies, covering audio timing and synchronization and Multichannel Interference Cancellation. ADIO is a portfolio of patented data over ultrasonic sound transmission technology, while Sumerian is an hardware solution and transponder used to track and authenticate physical real world assets (RWA) using sound for data transmission. 

The Datavault Data Sciences Division licenses High Performance Computing (HPC) software applications and Web 3.0 data management serving multiple market verticals.

Nathaniel Bradley (pictured) is the named inventor of several phonetic and navigational patented inventions known as AudioEye, and founder of the Internet accessibility technology company for individuals with disabilities with the same name. Prior to Data Vault and AudioEye, Nathaniel Bradley has been CTO for the Marathon Patent Group. Over his career he developed the technology, businesses and patent portfolios of VoiceAmerica, Radio Pilot, World Talk Radio and BoomBox Radio. He has been involved in the acquisition and consolidation of Internet Radio operations within a mobile marketing company he founded called Augme Technologies in 2010. Bradley was also technical leader for the acquisition of Hipcricket for more than $44.5 million and Jag Tag, inc. for $5.3m in 2011. The patent portfolio developed by Nate and his team is among the most cited in the space and was acquired by Upland Software.

In this transaction, WiSA Technologies pays $210 million to Data Vault Holdings in exchange for Datavault and ADIO intellectual property and information technology assets. $200 million in the form of shares of restricted common stock of WiSA Technologies to be issued at $5.00/share, plus $10 million in an unsecured promissory note due 3 years from closing, with 10% of the proceeds of any financings used to pay down or pay off the promissory note in the interim. The deal also details a 3% royalty on future revenues from Datavault and ADIO product lines will be paid to Master Vault, LLC.

Closing of the operation is subject to customary conditions and approval by the stockholders of WiSA Technologies, and is expected to occur prior to December 31, 2024. The deal is expected to be confirmed during a stockholders meeting. Upon closing, Nate Bradley will become CEO and Moyer CFO and the company intends to change its name to Datavault Inc.
